1. Definitions

In these Terms & Conditions ("Terms"):

• Customer / you / your means the individual or legal entity who uses the Website or purchases goods from KG3 Computer Trading.
• Goods / Products means computer hardware, software, peripherals, accessories, or other items sold via the Website.
• Order means your request to purchase Products from us via the Website, subject to acceptance.
• Delivery Address means the location you designate for our delivery of the Products.
• Force Majeure means any event beyond KG3's reasonable control, including but not limited to acts of God, natural disasters, governmental or regulatory acts, strikes, epidemics/pandemics, transportation delays, etc.

2. Eligibility & Capacity

• You represent that you are of legal age to enter into a contract under Philippine law (18 years or older), or if underage, you have obtained legal parental or guardian consent.
• If acting on behalf of an entity (company, organization), you warrant that you have the authority to bind that entity to these Terms.

3. Ordering, Acceptance & Contract Formation

• All Orders are subject to acceptance by KG3. We may refuse or cancel an Order for any reason, including but not limited to: Product unavailability, errors in Product or pricing information, fraud prevention.
• A contract for sale is formed when we send you a confirmation email or notification that the Order is accepted. Before that point, no contract exists.
• We reserve the right to require additional verification before accepting an Order (e.g. identity, payment method).

4. Prices, Payment & Taxes

• Prices displayed on the Website are in Philippine Peso (PHP), unless otherwise stated. All prices are inclusive of Value-Added Tax (VAT) where applicable, unless clearly specified otherwise.
• Prices may change without prior notice. However, once you have placed an accepted Order at a given price, that price binds us unless there has been an obvious error.
• Payment must be made through the payment methods listed on the Website. KG3 may require full payment, or partial payment / prepayment, before dispatch.
• You are responsible for any bank / remittance / transaction fees (if any) imposed by your bank unless we state otherwise.
• Where applicable, you are responsible for any import duties, tariffs, or other governmental taxes if delivery is outside of the Philippines (if we offer that), subject to applicable law.

5. Delivery, Risk & Title

• We will deliver the Products to the Delivery Address you specify. Any delivery dates or estimates are approximate; delays may occur.
• Risk of loss or damage to Products passes to you upon delivery (i.e. when delivered to the address).
• Ownership (title) of the Products remains with KG3 until we receive full payment of all amounts due under your Order.

6. Returns, Refunds & Warranty

• Our returns, refund, and warranty policies are set out in separate documents ("Return Policy", "Warranty Policy"), and by placing an Order you also agree to those policies.
• Products may have manufacturer warranties, and you must follow manufacturer's instructions for warranty claims.
• Where required by law, we will honor statutory consumer rights. We aim to process refunds/returns in a timely manner once all conditions under our policies are met.

7. Product Information & Promotions

• We endeavour to provide accurate product descriptions, photographs, specifications, but we do not warrant that all content is free from error.
• Colours, designs, or dimensions shown may vary slightly from actual Products.
• Promotional offers, discount codes, bundles, etc. are subject to these Terms and specific promotional terms. KG3 may modify or terminate promotions at any time without prior notice, unless legally prohibited.

8. User Accounts & Security

• If you register for an account, you agree to provide true, accurate, current and complete information. You must maintain and promptly update your account information.
• You are responsible for safeguarding your account credentials (username, password). You bear all responsibility for any activity under your account, unless due to KG3's fault.

9. Intellectual Property

• All content on the Website (text, images, logos, trademarks, graphics, designs) is owned by or licensed to KG3, unless otherwise indicated. All rights reserved.
• You may not copy, reproduce, modify, distribute, republish, display, or otherwise use content without KG3's prior written permission, except as permitted by law (e.g. for personal use).
• If you send any feedback, suggestions, or ideas ("Feedback"), you grant KG3 a non-exclusive, royalty-free, worldwide, perpetual license to use and exploit such Feedback without any compensation to you.

10. Limitation of Liability & Disclaimers

• To the fullest extent permitted by applicable law, KG3 is not liable for any indirect, incidental, special, punitive or consequential damages (including loss of profit, loss of business, loss of data, etc.) arising out of or relating to your use of the Website, Products, or services.
• KG3 provides Products "as is" and "as available", except where a specific warranty is expressly provided. Except as required by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement.
• Notwithstanding any provisions to the contrary, nothing in these Terms limits liability for fraud, death or personal injury caused by KG3's negligence, or other liabilities that cannot be excluded under Philippine law (Consumer Act, etc.).

11. Indemnification

You agree to indemnify, defend, and hold harmless KG3, its officers, agents, employees, affiliates, contractors, and partners from and against any claims, damages, losses, costs or expenses (including legal fees) arising from:

• your breach of any of these Terms;
• your misuse of the Website;
• your violation of any law or third-party rights (including intellectual property rights);
• any user content you submit that is false, misleading, infringing, or unlawful.

12. Termination & Suspension

• KG3 may suspend or terminate your access to the Website, or refuse to provide Products, if you breach any provision of these Terms, or for any other reason (including inactivity, system maintenance, or security concerns).
• On termination, your rights to use the Website immediately cease, but rights and obligations which by their nature ought to survive termination (e.g. warranty, intellectual property, limitations of liability, indemnities) remain in force.

13. Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of the Philippines.
• Any dispute, controversy, or claim arising out of or relating to these Terms or the Products shall be submitted exclusively to the competent courts of Quezon City, Philippines.
• Before initiating any legal proceeding, you agree to first try to resolve the dispute through amicable negotiation. KG3 may also offer or require mediation or another Alternative Dispute Resolution mechanism.

14. Force Majeure

KG3 shall not be liable for any delays or failures in performance resulting from causes beyond its reasonable control (Force Majeure). In such cases, KG3 will notify you as soon as reasonably possible and take steps to mitigate the effect.

15. Modifications to Terms

We reserve the right to update or modify these Terms at any time. The updated version will be posted on the Website and will have a "Last updated" date. Your continued use of the Website or placing an Order after such changes will constitute acceptance of the modified Terms.

16. Severability & Waiver

• If any provision of these Terms is held invalid or unenforceable under applicable law, it shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining parts of the Terms shall remain in full force and effect.
• The failure of KG3 to enforce any right or provision under these Terms shall not be a waiver of such right or provision.

17. Third-Party Links & Services

• The Website may contain links to third-party sites, services, or products not owned or operated by KG3. We are not responsible for the availability, content, or practices of third-party sites. Use of those is at your own risk.
• If you purchase via third-party payment gateways, logistics providers or others, their own terms may also apply.

18. Privacy & Data Protection

• Our Privacy Policy describes how we collect, use, store and process your personal data. By using the Website or placing an Order, you agree to the Privacy Policy.
• We will comply with applicable data protection laws in the Philippines.

20. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, Return Policy, and Warranty Policy, constitute the entire agreement between you and KG3 Computer Trading regarding the use of our website and services. No other terms or conditions shall apply unless expressly agreed in writing.
